Terms of Use

Introduction
These terms of use (the "Agreement") govern your use of Explisoft's software solutions, including but not limited to management systems and website development services (the "Services"). By using the Services, you agree to be bound by the terms and conditions of this Agreement.

License
Explisoft grants you a non-exclusive, non-transferable license to use the Services for your internal business purposes only. You may not copy, modify, distribute, sell, or transfer the Services or any portion thereof without Explisoft's prior written consent.

Payment and Fees
Payment for the Services shall be made in accordance with the pricing and payment terms specified by Explisoft. All fees are non-refundable and payable in advance.

Confidentiality
You agree to maintain the confidentiality of all information and materials provided by Explisoft in connection with the Services. You may not disclose any such information or materials to any third party without Explisoft's prior written consent.

Ownership and Intellectual Property
Explisoft retains all right, title, and interest in and to the Services, including all intellectual property rights. You may not use any of Explisoft's trademarks, trade names, logos, or other proprietary marks without Explisoft's prior written consent.

Warranty Disclaimer
The Services are provided "as is" and without warranty of any kind, express or implied. Explisoft disclaims all warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

Limitation of Liability
In no event shall Explisoft be liable for any indirect, special, incidental, consequential, or punitive damages arising out of or in connection with the Services, even if Explisoft has been advised of the possibility of such damages.

Termination
Explisoft may terminate this Agreement at any time upon notice to you. Upon termination, you must immediately cease using the Services.

Governing Law and Jurisdiction
This Agreement shall be governed by and construed in accordance with the laws of the state where Explisoft is located, without giving effect to any principles of conflicts of law. The parties hereby submit to the exclusive jurisdiction of the courts located in that state.

Entire Agreement
This Agreement constitutes the entire agreement between you and Explisoft with respect to the Services and supersedes all prior or contemporaneous communications and proposals, whether oral or written, between the parties.

Modification
Explisoft may modify this Agreement at any time by posting the modified terms on its website. Your continued use of the Services after such posting shall be deemed acceptance of the modified terms.
